1. Introduction
1.1. These Terms of Use (the “Terms”) govern your access to and use of all products and services provided by NDK Games (“NDK Games”, “Company”, “we”, “us”, “our”), including but not limited to:
- Mobile applications (e.g. Android, iOS and other platforms);
- Websites and web applications;
- Chatbots and mini-apps (e.g. Telegram bots and similar integrations);
- Online games, AI-powered services, APIs and any other digital products operated by NDK Games
(collectively, the “Services”).
1.2. By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Services.
1.3. Our Privacy Policy explains how we collect, use and protect your personal data. By using the Services, you also agree to our Privacy Policy (as updated from time to time).
1.4. The Services are intended for individuals who are at least 18 years old. By using the Services, you represent and warrant that you are at least 18 and have full legal capacity to enter into these Terms.
2. Changes to the Terms and Services
2.1. We may modify these Terms from time to time. The updated version will be indicated by the “Last updated” date above or otherwise communicated where required by law.
2.2. Where required, we will notify you of material changes (for example, via the Services or by email). Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the updated Terms.
2.3. We may change, suspend or discontinue any part of the Services at any time, including features, content, pricing and availability. Where reasonably possible, we will give prior notice of changes that materially affect your use.
3. Eligibility, Accounts and Access
3.1. You may use some Services without creating a separate account (for example, via a chatbot using your messenger account). Other Services may require registration of an account with us or via a third-party platform.
3.2. You are responsible for:
- Keeping your login credentials and any access tokens confidential;
- Restricting access to your devices and accounts;
- All activities that occur under your account or through your devices.
3.3. You agree to provide accurate, current and complete information when creating an account or providing data to us, and to update such information as necessary.
3.4. We may refuse registration, suspend or terminate accounts, or limit access to the Services where we reasonably believe that:
- You have violated these Terms or applicable law;
- Your behaviour risks harm to the Services, other users or third parties;
- We are required to do so by law or by a competent authority.
4. Description of Services
4.1. NDK Games provides a variety of digital products, which may include:
- Online and mobile games;
- AI-powered chat, content generation and file-processing tools;
- Bots and mini-apps in messengers;
- Auxiliary services such as payment systems, referral programs, analytics dashboards and administrative tools.
4.2. Specific functionalities may vary between platforms (Web, Android, iOS, Telegram and others), between regions and over time.
4.3. Unless expressly stated otherwise, the Services are provided for personal and non-commercial use. Any commercial use requires our prior written consent.
5. License to Use the Services
5.1. Subject to your compliance with these Terms and applicable law, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install our mobile applications on your personal devices;
- Access and use our websites, web applications, chatbots, games and other Services;
solely for your personal, non-commercial use.
5.2. You must not:
- Copy, modify, adapt, translate, reverse engineer, decompile or disassemble any part of the Services (except to the extent such restrictions are prohibited by law);
- Circumvent or attempt to circumvent technical protection or usage limits;
- Rent, lease, sublicense, sell, distribute or otherwise transfer the Services or any rights in them to any third party;
- Use the Services to build or train competing products, services or models, unless expressly allowed in writing.
6. User Content
6.1. “User Content” means any content that you upload, submit or otherwise provide through the Services, including but not limited to: text, prompts, comments, files, images, audio, video, code, feedback and any other materials.
6.2. You remain the owner of your User Content, subject to any rights granted to us under these Terms and subject to third-party rights.
6.3. You represent and warrant that:
- You have all necessary rights, licenses and permissions to submit User Content and to grant the rights described in these Terms;
- Your User Content does not infringe any third-party rights (including intellectual property, privacy and publicity rights);
- Your User Content and your use of the Services comply with applicable laws and these Terms.
6.4. By submitting User Content, you grant NDK Games a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to:
- Host, store, reproduce, process, adapt, modify, translate, create derivative works from, display and distribute your User Content solely for the purpose of operating, improving and providing the Services (including analytics, security, backup and support);
- Use de-identified and/or aggregated versions of your User Content for analytics, statistics, training, testing and improving our technologies and Services, where permitted by law and our Privacy Policy.
6.5. You are solely responsible for your User Content and for any consequences of submitting it. We do not undertake to pre-screen all content but may remove or restrict access to User Content that we reasonably consider to be unlawful, harmful or in violation of these Terms.
7. AI-Generated Content and No Professional Advice
7.1. Some Services use automated systems and AI models to generate content (including but not limited to text, images, audio, video, summaries, code and other outputs) based on your inputs and other data.
7.2. You understand and agree that:
- AI-generated content may be incomplete, inaccurate, misleading or inappropriate;
- The Services do not provide professional advice (including but not limited to medical, legal, financial or investment advice);
- You must independently verify information where accuracy is critical and should consult qualified professionals when needed.
7.3. You are solely responsible for how you use AI-generated content, including any publication, redistribution or reliance on such content.
7.4. Where permitted by law and by the terms of underlying AI providers, you may obtain rights to AI-generated content. However, you must ensure that your use of such content complies with applicable laws, these Terms and any additional policies or restrictions communicated by us.
8. Payments, Virtual Items and Refunds
8.1. Some features of the Services may be offered free of charge, while others may require payment (for example, subscriptions, one-time purchases, in-app purchases, virtual currency or credits).
8.2. If the Services include an internal balance, credits, coins, tokens or other virtual items:
- They represent a limited, non-transferable, revocable license to use certain features or content within the Services;
- They have no independent monetary value outside the Services and are not redeemable for real money, except where explicitly required by law or expressly stated by us;
- We may set conversion rates between payment methods (e.g. platform tokens or in-app purchase amounts) and internal balances.
8.3. Prices, tariffs and billing rules may vary by region, platform and time and are subject to change. Such changes apply prospectively to future purchases and usage.
8.4. Payments are processed by third-party providers (such as app stores, payment gateways or token-based systems). We are not responsible for delays, failures or errors in payment processing caused by those providers.
8.5. Unless otherwise required by law or expressly stated by us:
- All completed purchases are considered final and non-refundable;
- We are not obliged to refund or credit internal balances for Services already rendered or used;
- In exceptional cases, we may, at our sole discretion, issue refunds or credits (for example, in case of technical errors), typically in the form of adjustments to the internal balance rather than refunds to your payment method.
8.6. You agree to pay all fees and charges incurred in connection with your use of the Services and to comply with the terms of the payment providers and platforms through which you make purchases.
9. Referral Programs and Promotions
9.1. From time to time, we may provide referral programs, bonuses, discounts or other promotions. The specific terms of each program will be communicated separately (for example, inside the application, on the website or in promotional materials).
9.2. We may set conditions for earning and using referral rewards or bonuses (such as minimum purchases, territories, caps, validity periods and other restrictions).
9.3. We reserve the right to modify, suspend or terminate any referral program or promotion at any time, including in cases of suspected fraud or abuse.
10. Prohibited Conduct
By using the Services, you agree not to:
10.1. Violate any applicable law or regulation.
10.2. Infringe the rights of others, including intellectual property, privacy and publicity rights.
10.3. Upload, generate, transmit or otherwise make available any content that is:
- Illegal, harmful, abusive, defamatory, obscene, hateful, discriminatory or otherwise objectionable;
- Involving exploitation or harm to minors, including sexual content involving minors;
- Inciting violence, terrorism, extremism or other criminal activity.
10.4. Use the Services to transmit spam, unsolicited messages, or automated communications without authorization.
10.5. Introduce malware, viruses, malicious code, or attempt to disrupt the integrity or performance of the Services or others’ use of them.
10.6. Attempt to gain unauthorized access to any accounts, systems, networks, or data, including by circumventing security measures.
10.7. Use bots, scripts, scrapers or other automated means to access the Services, except where explicitly allowed in writing.
10.8. Misrepresent your identity or affiliation, impersonate any person or entity, or falsely imply that your activities are endorsed by NDK Games.
10.9. Use the Services to train or improve competing models or services, unless explicitly permitted.
11. Third-Party Services and Links
11.1. The Services may integrate or interact with third-party services, platforms, tools, websites or applications (including messengers, app stores, AI providers, payment services, analytics and others).
11.2. We do not control and are not responsible for third-party services, their content, policies or practices. Your use of third-party services is subject to their own terms and privacy policies.
11.3. Links to third-party websites or services do not imply endorsement or recommendation by NDK Games.
12. Intellectual Property
12.1. All rights, title and interest in and to the Services (including but not limited to software, source code, object code, design, user interface, graphics, logos, trade names, game assets, text, audio, video and other content) are owned by NDK Games or our licensors, and are protected by intellectual property laws.
12.2. Except for the limited license granted in Section 5, nothing in these Terms grants you any right, title or interest in our intellectual property.
12.3. You must not remove, obscure or alter any copyright, trademark or other proprietary notices appearing in or on the Services.
13. Disclaimers
13.1. “AS IS” and “AS AVAILABLE”.
The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title and non-infringement.
13.2. We do not warrant that:
- The Services will be uninterrupted, secure or error-free;
- Defects will be corrected;
- Any content (including AI-generated content) is accurate, complete, reliable or fit for any particular purpose.
13.3. You use the Services at your own risk. You are solely responsible for your decisions and for any outcomes resulting from your use of the Services and of any content (including AI-generated content).
13.4. To the maximum extent permitted by law, we disclaim any responsibility for:
- Loss or damage caused by malware, attacks or other harmful code;
- Third-party content, services, websites or actions;
- Loss of data, loss of profits or other indirect or consequential damages.
14. Limitation of Liability
14.1. To the maximum extent permitted by applicable law, NDK Games and its affiliates, directors, officers, employees and agents shall not be liable for:
- Any indirect, incidental, special, consequential or punitive damages;
- Any loss of profits, revenue, data, goodwill or business opportunities;
- Any damages resulting from your use of or inability to use the Services, including reliance on any content.
14.2. Where our liability cannot be fully excluded under applicable law, our total aggregate liability arising out of or in connection with the Services and these Terms, whether in contract, tort or otherwise, shall be limited to the higher of:
- The amount you have paid to us for paid features of the Services in the three (3) months immediately preceding the event giving rise to the claim; or
- A reasonable minimum amount required by applicable law.
15. Indemnification
15.1. You agree to indemnify, defend and hold harmless NDK Games and its affiliates, directors, officers, employees and agents from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Services;
- Your User Content;
- Your violation of these Terms or of any applicable law;
- Your infringement of any rights of third parties.
15.2. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in asserting any available defenses.
16. Suspension and Termination
16.1. We may suspend or terminate your access to the Services (in whole or in part) at any time, with or without notice, if:
- You materially or repeatedly breach these Terms or applicable law;
- We are required to do so by law or by order of a competent authority;
- We discontinue or substantially modify the relevant Services.
16.2. You may stop using the Services at any time. If you wish to delete your account (where applicable), you may do so through the available tools or by contacting us.
16.3. Upon termination:
- The licenses granted to you under these Terms will automatically terminate;
- We may retain certain data to the extent and for the period required by law or as described in our Privacy Policy.
17. Governing Law and Dispute Resolution
17.1. Unless otherwise required by mandatory law of your country of residence, these Terms and your use of the Services shall be governed by and construed in accordance with the laws of the country where NDK Games is incorporated, without regard to its conflict of laws rules.
17.2. The parties shall first attempt to resolve any dispute amicably by contacting each other. You may contact us via support@ndkgames.com.
17.3. If a dispute cannot be resolved amicably within a reasonable time, it shall be submitted to the competent courts at the place of incorporation of NDK Games, unless mandatory law provides otherwise.
18. Miscellaneous
18.1. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
18.2. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
18.3. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations to an affiliate or in connection with a merger, acquisition or sale of assets, subject to applicable law.
18.4. These Terms, together with our Privacy Policy and any additional terms that may apply to specific Services, constitute the entire agreement between you and NDK Games regarding your use of the Services.
